Refined Careers Terms and Conditions

Refined Career by Agnes Pakozdi, Widmerstrasse 73D, 8038 Zurich, Switzerland, is the operator of Refined Career. We provide career coaching and job search advisory for individuals residing in or relocating to Switzerland, alongside strategic consulting for aspiring entrepreneurs and early-stage businesses within Switzerland. These General Terms and Conditions apply to all orders placed via our online shop or in person. Please note that we may amend or change these terms at any time. By placing an order, you are deemed to have accepted these General Terms and Conditions.

1. Conclusion of Contract

• Binding Order: The presentation of services and products advertised on the website is only an invitation to place an order. Only by clicking on the displayed confirmation button (e.g., "confirm" or "order" or “book now”) do you place a binding order for the articles on the order page.
• Confirmation of Order: We will confirm the receipt of your booking by email after the order has been placed. A binding contract is only concluded upon receipt of the order confirmation.
• Deadlines: If working days are herein indicated as deadlines, we understand this to mean all days from Monday to and including Friday, with the exception of public holidays.

2. Prices and Costs

• Prices: The prices listed in the offer at the time of the order shall apply. The prices quoted are exclusive of the applicable statutory value-added tax.
• Price Changes: We reserve the right to change prices at any time. The prices published on the website on the order date are the prices applicable to your order.
• Payment Due Date: The purchase price as well as possible shipping costs incurred become due upon conclusion of the contract, unless otherwise provided for in the prevailing version of the General Terms and Conditions.

3. Payments‍

• Payment Methods: We only accept the payment methods indicated to you during the ordering process. We reserve the right not to offer certain payment methods for every order and to refer to other payment methods. Please note that we generally only accept payments from accounts in Switzerland and within the European Union (EU). You are responsible for paying possible costs resulting from a money transfer.
• Credit Card: In the case of purchase by credit card, your credit card account will be debited immediately upon conclusion of the contract.
• Invoices: Unless otherwise agreed, invoices are payable within 15 days from the invoice date. We may demand payment in advance without stating reasons.
• Late Payment: If your payment is not made within 15 days of the due date, you will be in default. In this case, we reserve the right to charge you a reminder fee in addition to the invoice amount. The outstanding invoice amount (including interest on arrears and dunning fees) can be handed in or sold for the purpose of collection. In addition to the payment of the invoice amount, you are also obliged to reimburse all costs incurred as a result of late payment. Furthermore, we reserve the right to claim damages.

4. Warranty

• General: Our liability for our own fault as well as that of our employees, legal representatives and other agents is limited to intent.

5. Cancellation and Rescheduling Policy

• 5.1 General Principles: All notifications regarding cancellations or requests to reschedule must be sent in writing to agnes.pakozdi@refined-career.ch. The time of receipt of the email in the Central European Time (CET/CEST) zone shall be decisive for meeting deadlines.
• 5.2 Private Coaching or Advisory Sessions:
• • Notice Period: You may reschedule or cancel a session free of charge up to 24 hours before the scheduled start time.
  • Late Cancellations: If a session is cancelled or a reschedule is requested less than 24 hours before the appointment, Refined Career by Agnes Pakozdi reserves the right to charge the full fee for that session.
  • No-Shows: If you do not attend a scheduled session within 15 minutes of the start time, the session will be considered a "No-Show." The session will be forfeited and billed at the full rate.
  • Package Validity: For coaching packages, all sessions must be completed within the agreed timeframe. Unused sessions or reschedule requests do not carry forward beyond the duration of your coaching package.
• 5.3 Group Sessions, Workshops, and Events:
• • Non-Refundable Window: Refunds will not be provided if the cancellation occurs within 24 hours of the event's commencement.
  • Credit Policy: Nevertheless, if you provide a minimum of 24 hours' notice, your payment can be applied as a credit towards one of my comparable services within 6 months of the original date.
  • Event Cancellation: In the unlikely event that Refined Career by Agnes Pakozdi must cancel a workshop or group session, you will be offered a full refund or the option to transfer your registration to a future date.
• 5.4 Rescheduling by the Coach: Refined Career by Agnes Pakozdi strives to maintain all scheduled appointments. However, in cases of illness, technical failure, or force majeure, Refined Career by Agnes Pakozdi reserves the right to reschedule a session. In such cases, you will be notified as soon as possible, and the session will be rescheduled at a mutually convenient time without any additional cost to you.
• 5.5 Subject to Availability: All rescheduling requests are subject to the Coach’s current availability. We will work with you to find a suitable alternative time that fits both your schedule and your coach's availability.

6. Privacy and Cookies

• Policy Reference: The protection of your personal data is a priority. Information on how we process personal data and use cookies is found in our separate Privacy and Cookie Policy, which forms an integral part of these General Terms and Conditions.

7. Disclaimer

Refined Career by Ágnes Pákozdi, hereafter referred below further as "Coach/Advisor," provides career coaching and job search advisory services to clients seeking assistance in their career development and job search endeavors. By engaging in these services or using this website, you acknowledge and agree to the following disclaimer:

• 7.1 Not a Guarantee of Employment: The Coach/Advisor will work with you to develop a career plan and provide you with strategies for job searching. However, the Coach/Advisor cannot guarantee job placement or specific career outcomes. Career success depends on various factors, including market conditions, individual effort, and circumstances beyond the Coach/Advisor's control.
• 7.2 Individualized Guidance: The advice and guidance provided by the Coach/Advisor are based on your unique background, skills, and goals. The Coach/Advisor will strive to offer tailored recommendations, but it is essential to recognize that results may vary. The Coach/Advisor is not a licensed therapist.
• 7.3 Confidentiality: All information shared with the Coach/Advisor during the advisory and coaching sessions will be kept confidential unless required by law or professional ethics.
• 7.4 No Legal or Financial Advice: The Coach/Advisor is not a lawyer or financial advisor, and their guidance should not be construed as legal or financial advice. It is recommended that you seek professional counsel for legal or financial matters.
• 7.5 Responsibility for Decisions: You are solely responsible for your own research and the decisions you make regarding your career and job search. The Coach/Advisor's role is to provide guidance and support, but the ultimate choices and actions rest with you. The Coach/Advisor is not responsible for any decisions you make or actions you take.
• 7.6 Action and Outcomes: The Coach/Advisor will help you to identify your strengths and weaknesses, set goals, and develop a plan to achieve those goals. However, the Coach/Advisor cannot make decisions for you or take action on your behalf. The Coach/Advisor will provide you with information and resources, but it is up to you to do your own research and make informed decisions. The Coach/Advisor is not responsible for any losses or damages you may incur as a result of your decisions or actions.
• 7.7 No Guarantees of Outcomes: While the Coach/Advisor will make every effort to provide valuable insights and strategies, they cannot guarantee specific results or job offers.
• 7.8 Commitment to Success: Your success in your career and job search endeavors depends on your dedication, effort, and willingness to implement the advice provided by the Coach/Advisor.
• 7.9 Investment and Payment: You acknowledge that you have reviewed and agreed to the Coach/Advisor's fees for their services. Payment is expected in accordance with the terms discussed and agreed upon between you and the Coach/Advisor.
• 7.10 Feedback and Communication: Open and honest communication is crucial for a successful coaching relationship. If you have concerns or feedback about the services provided, you are encouraged to discuss them with the Coach/Advisor to address any issues promptly.
• 7.11 Website Content: We strive to provide accurate and reliable content on this website. However, Refined Career by Ágnes Pákozdi cannot guarantee the completeness, accuracy, or reliability of the information and advice presented here. In addition, to the extent permitted by the law, Refined Career by Agnes Pakozdi disclaims any responsibility for losses or damages resulting from the use of the information on our website. Our website may contain links to external sites for your convenience. Any information or statements that appeared in these sites are not sponsored, endorsed, or otherwise approved by Refined Career by Ágnes Pákozdi. For these external sites, Refined Career by Ágnes Pákozdi cannot be held liable for the availability of, or the content located on or through it, nor can we be held liable for any losses or damages incurred from using their content or the internet in general.
• 7.12 Not a Therapy: Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach/Advisor. As such, the Client agrees that the Coach/Advisor is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach/Advisor. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease. Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s responsibility. Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach/Advisor. The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.

8. Limited Liability‍

• 8.1 General Liability: We make no guarantees, representations or warranties of any kind or nature, express or implied with respect to the services negotiated, agreed upon and rendered. In no event shall the Coach/Advisor be liable to the Client for any indirect, consequential or special damages.
• 8.2 Liability Limit: Notwithstanding any damages that the Client may incur, the Coach/Advisor’s entire liability and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach/Advisor under this Agreement for all coaching services rendered through and including the termination date.
• 8.3 B2B Limitation: In the case of services provided to startups and business entities, Refined Career is only liable for direct damages caused by gross negligence or intent. Liability for indirect or consequential damages, including but not limited to lost profits or business interruption, is explicitly excluded.

9. Intellectual Property Rights

• 9.1 Ownership of Materials: Refined Career by Agnes Pakozdi retains all rights, titles, and interests in and to all materials provided during the coaching or advisory process. This includes, but is not limited to, worksheets, templates, checklists, session recordings, presentation slides, and proprietary coaching methodologies (the "Materials").
• 9.2 Limited License to Client: Upon payment in full, Refined Career by Agnes Pakozdi grants the Client a personal, non-exclusive, non-transferable, and revocable license to use the Materials solely for their personal career development.
• 9.3 Prohibited Use: The Client is strictly prohibited from reproducing, distributing, or publicly displaying the Materials; selling, sub-licensing, or using the Materials for commercial purposes or for the training of third parties; or modifying the Materials to create derivative works for distribution.
• 9.4 Digital Content: Any login credentials or access links provided for digital platforms or "online shop" content are strictly for the Client’s individual use. Sharing access details with third parties is a breach of these Terms and Conditions and may result in the immediate termination of services without a refund.

10. Special Provisions for Startup & Entrepreneurial Consulting

• 10.1 Strategic Nature of Advice: Consulting services for entrepreneurs and startups are of a strategic and advisory nature. The Coach/Advisor provides tools, frameworks, and professional insights to assist the Client in making informed business decisions. However, the Client remains the final decision-maker and executive authority for their business.
• 10.2 Commercial Risk and Success: The Client acknowledges that launching and operating a business involves significant commercial risk. Refined Career by Agnes Pakozdi makes no guarantees regarding: market entry success or customer acquisition rates; financial performance, profitability, or revenue targets; or the ability to secure third-party funding or venture capital. The Coach/Advisor is not liable for any business failures, loss of profits, or failed investments.
• 10.3 Professional Confidentiality (Trade Secrets): The Coach/Advisor acknowledges that she may be privy to proprietary business concepts, trade secrets, and non-public financial data. Refined Career commits to strict confidentiality regarding the Client’s "Business Know-How" and will not use such information for any purpose other than the agreed consulting services.
• 10.4 External Expert Referrals: If the Coach/Advisor recommends third-party experts (e.g., lawyers, accountants, web developers), this is done as a courtesy. Refined Career does not assume liability for the performance, quality, or legal compliance of these third-party service providers.
• 10.5 Indemnification: The Client agrees to indemnify and hold Refined Career by Agnes Pakozdi harmless from any and all claims, damages, or legal expenses arising out of the Client’s business operations, breach of third-party contracts, or violation of laws, even if such actions were discussed during the consulting process.
• 10.6 Independent Contractor Status: The relationship between Refined Career and the Client is that of an independent contractor. Nothing in these T&Cs shall be construed to create a partnership, joint venture, agency, or employer-employee relationship. The Coach/Advisor has no authority to bind the Client or incur obligations on the Client's behalf.
• 10.7 Accuracy of Information: The Client is responsible for the accuracy and completeness of all data and information provided to the Coach/Advisor. Refined Career shall not be liable for any errors or omissions in the consulting services resulting from inaccurate or incomplete information provided by the Client.

11. Term and Termination

The contractual relationship between the Client and the Coach/Advisor concludes automatically upon the full delivery of the agreed-upon services and the completion of all outstanding payments by the respective party.For ongoing engagements or prior to full completion, the following termination rules apply: Notice Period: Either party may terminate a signed Coaching Agreement at any time by providing one week’s written notice to the other party. In the event of such termination, the Client remains obligated to compensate the Coach/Advisor for all services rendered up to and including the effective date of termination. The cancellation policies as per section 5 of these Terms & Conditions apply.

12. Governing Law and Jurisdiction

• Governing Law: These Terms and Conditions are governed by Swiss law.
• Jurisdiction: The place of jurisdiction for all disputes arising from or in connection with these T&Cs is Zürich, Switzerland.
